Leveraged buyouts have gone in and out of popularity over the last four decades. The first wave began in the 1980's with the rising popularity of junk bonds, followed by years of economic downturn, and then a rise and respective fall from the dot com era. However, in the 2000's, attitudes were high and a period of low interest rates, covenant-lite loans, and relaxed lending conditions gave rise to some of the largest leveraged buyouts in US history. As the name implies, leveraged buyouts are predominantly structured with debt, around 70% of the total transaction value. Private equity firms execute leveraged buyouts on companies in strong industries, who have proven, stable cash flows, with the intent of cutting costs, divesting unneeded assets, and making the chain more efficient. After a time period of five to seven years, the private equity firm exits the deal through an initial public offering of the target company, a sale to another buyer, or dividend recapitalization. The Blackstone Group is one of the largest private equity firms in the US, and, with the favorable leveraged buyout conditions, especially in the real estate market, it wanted to build its real estate portfolio with an acquisition of Hilton Hotels & Resorts. At the time of consideration, Hilton was one of the largest hotel companies in the world, but was beginning to lag compared to its competitors Marriott and Starwood. After months of talks, Hilton agreed to be bought out by Blackstone at $47.50/share, for a total purchase price of $26bn. Blackstone had injected $5.7 of its own equity into the deal. The Great Recession caused a lot of investors to worry about Hilton's debt obligations, and Blackstone was able to restructure a significant portion of the debt to benefit both themselves and their creditors. As new CEO, Christopher J. Nassetta was able to strengthen Hilton by rearranging management, increasing franchising fees, expanding its capital-lite segments, and building more rooms internationally, Hilton was able to grow quicker than its competitors from 2007-2013 while minimizing operating expenses. On December 2, 2013, Hilton went public on the NYSE as HLT. Its enterprise value increased from $26bn to $33bn, and Blackstone was able to achieve an internal rate of return of 19%, while continuing to own 75% of Hilton's shares.

Autonomous vehicles (AV) are capable of producing massive amounts of real time and precise data. This data has the ability to present new business possibilities across a vast amount of markets. These possibilities range from simple applications to unprecedented use cases. With this in mind, the three main objectives we sought to accomplish in our thesis were to: Understand if there is monetization potential in autonomous vehicle data Create a financial model of what detailing the viability of AV data monetization Discover how a particular company (Company X) can take advantage of this opportunity, and outline how that company might access this autonomous vehicle data. First, in order to brainstorm how this data could be monetized, we generated potential use cases, defined probable customers of these use cases, and how the data could generate value to customers as a means to understand what the "price" of autonomous vehicle data might be. While we came up with an extensive list of potential data monetization use cases, we evaluated our list of use cases against six criteria to narrow our focus into the following five: Government, Insurance Companies, Mapping, Marketing purposes, and Freight. Based on our research, we decided to move forward with the insurance industry as a proof of concept for autonomous vehicle data monetization. Based on our modeling, we concluded there is a significant market for autonomous vehicle data monetization moving forward. Data accessibility is a key driver in how profitable a particular company and their competitors can be in this space. In order to effectively monetize this data, it would first be important to understand the method by which a company obtains access to the data in the first place. Ultimately, based on our analysis, Company X has positioned itself well to take advantage of the new trends in autonomous vehicle technology. With more strategic investments and innovation, Company X can be a key benefactor of this unprecedented space in the near future.

Company X is one of the world's largest semiconductor companies in the world, having a current market capitalization of 177.44 Billion USD, an enterprise value of 173.6 Billion USD, and generated 52.7 billion USD in revenue in fiscal year 2013. Recently, Company X has been looking to expand its Foundry business. The Foundry business in the semiconductor business is the actual process of making the chips. This process can be approached in several different ways by companies who need their chips built. A company, like TSMC, can be considered a pure-play company and only makes chips for other companies. A fabless company, like Apple, creates its own chip design and then allows another company to build them. It also uses other chip designs for its products, but outsources the building to another company. Lastly, the integrated device manufacturing companies like Samsung or Company X both design and build the chip. The foundry industry is a rather novel market for Company X because it owns less than 1 percent of the market. However, the industry itself is rather large, generating a total of 40 billion dollars in revenue annually, with expectations to have increasing year over year growth into the foreseeable future. The industry is fairly concentrated with TSMC being the top competitor, owning roughly 50 percent of the market with Samsung and Global Foundries lagging behind as notable competitors. It is a young industry and there is potential opportunity for companies that want to get into the business. For Company X, it is not only another market to get into, but also an added business segment to supplant their business segments that are forecasted to do poorly in the near future. This thesis will analyze the financial opportunity for Company X in the foundry space. Our final product is a series of P&L's which illustrate our findings. The results of our analysis were presented and defended in front of a panel of Company X managers and executives.

The purpose of this research project is to develop a recommendation for Company X on the strategies it should use to enter a new market. This was done through the compilation and interpretation of data from the company and the construction of a financial model capable of analyzing our different proposed strategies. Company X is a leading producer of silicon chips which seeks to remain one of the leading forces in new technologies. Currently Company X wants to assess the value and risks associated with introducing a new packaging technology (FO-WLP) into their products either by developing the technology in-house or outsourcing production. The first portion of the research consisted mostly of gathering the necessary business acumen to be able to to fully understand our research findings. Market research was conducted to discover what competitors exist and what inputs should be included for the model with help from employees at Company X. The research then proceeded with the identification of three possible strategies and construction of financial models to analyze these options. Using the results from our analysis we were able to develop our recommendation for Company X and lay out the next steps which the Company needs to take before investing in the new technology.

Roche Pharmaceutical's cancer drug, Avastin will be used as an example to highlight these issues. Drug patents, Medicare policies, weak metrics of efficacy and ceaseless demand—allow drug manufacturers to price their oncology treatments as they choose, regardless of results, and with virtually no competition, avenue or institution that serves to lower prices in the United States. Avastin will be established as an oncology drug that is overpriced and poorly evaluated based on its effectiveness. Facts, opinions and study analytics will be offered (from industry experts, insiders, doctors and scientists) that in almost all cases show that patients treated with Avastin receive marginal benefit. Allowing Medicare to negotiate drug prices with manufacturers, reducing conflicts of interest for doctors, setting research & development investment requirements and creating more relevant clinical metrics for use in FDA approvals would help reduce the financial burden on cancer patients and taxpayers.

We chose to analyze Apple's current cash and cash equivalents balance of $246.1 billion. To fully understand how to maximize Apple's investment using this cash balance, we performed detailed due diligence on the company. We analyzed the history of apple, a timeline of their major product releases, their financial statements, product mix, and the industries in which they operate. This allowed us to gain a deeper understanding of available opportunities. After doing our due diligence on the company, we look at their current cash levels and potential reasons that the cash balance has been increasing so quickly. Another component of their cash balance is the implications of a tax holiday for repatriation, so we also looked at the potential effects of this on Apple's cash balance. Finally, we begin the main portion of our project where look at the six potential options for the cash. We cover share buybacks, dividends or a special dividend, paying down debt, investing in research and development, making a large acquisition, or continuing to build a high cash balance. We pull data on each of these, look at financial metrics and many different numbers to evaluate which of these six options would maximize shareholder value. A large portion of our work was spent looking at acquisition targets. We finally vetted three potential targets: Tesla, Netflix, and Disney. These companies made sense for a number of different qualitative reasons, but after looking at them from a financial standpoint we concluded Disney was the only company worth modeling out. A detailed financial model was built on Disney to find a purchase price. Included in this was a discounted cash flow analysis, comparable company's analysis, analyzing precedent transactions, and then finding an enterprise value based on the model. We also built an accretion dilution model to see what the effect on earnings per share is and also what the combined entity would look like. In order to present our findings, we built a pitch book. A pitch book is the standard type of presentation that investment banks use in order to show their recommendations to companies.

The goal of this thesis was to provide in depth research into the semiconductor wet-etch market and create a supplier analysis tool that would allow Company X to identify the best supplier partnerships. Several models were used to analyze the wet etch market including Porter's Five Forces and SWOT analyses. These models were used to rate suppliers based on financial indicators, management history, market share, research and developments spend, and investment diversity. This research allowed for the removal of one of the four companies in question due to a discovered conflict of interest. Once the initial research was complete a dynamic excel model was created that would allow Company X to continually compare costs and factors of the supplier's products. Many cost factors were analyzed such as initial capital investment, power and chemical usage, warranty costs, and spares parts usage. Other factors that required comparison across suppliers included wafer throughput, number of layers the tool could process, the number of chambers the tool has, and the amount of space the tool requires. The demand needed for the tool was estimated by Company X in order to determine how each supplier's tool set would handle the required usage. The final feature that was added to the model was the ability to run a sensitivity analysis on each tool set. This allows Company X to quickly and accurately forecast how certain changes to costs or tool capacities would affect total cost of ownership. This could be heavily utilized during Company X's negotiations with suppliers. The initial research as well the model lead to the final recommendation of Supplier A as they had the most cost effective tool given the required demand. However, this recommendation is subject to change as demand fluctuates or if changes can be made during negotiations.
